Thank you for using 'edutap' and the edutap.ai website (the "Service"), a 1:1 personalized AI tutor solution provided by Coxwave Co., Ltd. (the "Company"). These Terms of Service clearly define the legal rights and obligations between the Customer and the Company, reflecting global B2B SaaS standards.
Article 1 (Purpose and Application of the Terms)

1. The purpose of these Terms is to stipulate the rights, obligations, responsibilities, and website conditions of use between the Company and the enterprise or institution adopting the Service (the "Customer") regarding the use of the Company's AI tutor solution 'edutap'.

2. [Precedence of Separate Agreements] Given the nature of B2B (business-to-business) services, the Company and the Customer may enter into a separate written agreement (e.g., MSA, SLA, NDA). In the event of a conflict between the terms of any such separate written agreement and these Terms, the separate written agreement shall prevail.

Article 2 (Definitions)

1. "Service" means the AI tutor, eduAlign (admin dashboard), and all related APIs provided by the Company in connection with the edutap.ai website and the Customer's platform (e.g., LMS).

2. "Customer" means any domestic or international enterprise, school, or institution that agrees to these Terms, enters into a Service utilization agreement with the Company, and uses the Service.

3. "Student (User)" means the end-user who actually utilizes the Company's 'Service' through the Customer's platform.

Article 3 (Account Creation and Management)

1. The Customer must create an account by providing accurate corporate and contact information to use the Service.

2. The Customer is responsible for maintaining the security of the issued API Keys, integration tokens, admin account passwords, etc. The Customer shall bear all liability for any damages arising from their negligence in managing such security.

Article 4 (Intellectual Property and Data Ownership)

1. [Company IP] All intellectual property rights to the Service itself, including software source code, prompt engines, scenario structures, website design, and system logic, belong exclusively to the Company.

2. [Customer Content and Analytics Output] The ownership of "Analytics Output" generated based on educational materials uploaded by the Customer and learner logs belongs to the Customer. However, the Company may utilize such data in a strictly anonymized state to improve the Service and enhance its AI models.

Article 5 (Data Collection, Protection, and Privacy)

1. [No Sensitive Information Collected] The Service does not directly collect or require sensitive personal data such as financial information or health data.

2. Details regarding data collection and protection are governed by the Company's [Privacy Policy] posted on the website. The Customer bears the legal obligation to obtain consent from Students regarding personal data collection and AI processing.

Article 6 (Acceptable Use Policy)

The Customer shall not engage in any of the following acts, and the Company may immediately block access to the Service without prior notice upon any violation:

โ‘  Attempting to reverse engineer, decompile, or copy the Company's APIs and software;

โ‘ก Causing excessive traffic beyond a normal scope or putting an unreasonable load on the system;

โ‘ข Abusing the AI tutor for illegal purposes, intellectual property infringement, generating hate speech, or spamming.

Article 7 (Fees and Payment)

1. Service fees and payment terms are subject to the pricing page on the website (edutap.ai) or a separate quote/agreement entered into with the Customer.

2. [Taxes and Fees] As a general rule, Service fees are based on a net amount. The Customer is responsible for any overseas remittance fees, local value-added taxes, and withholding taxes.

Article 8 (Service Level Agreement - SLA)

1. The Company will make its best efforts to maintain a monthly Service Uptime of 99.0%.

2. However, outages caused by scheduled maintenance with prior notice, external infrastructure (e.g., professional cloud providers, external AI models) failures, Customer's fault, or force majeure are excluded.

3. Specific compensation (Service Credits) criteria for failing to meet the SLA will follow the separately signed SLA or the relevant policy on the website.

Article 9 (Disclaimers and Limitation of Liability)

1. [Educational Purpose Disclaimer] The answers provided by the AI tutor are offered solely as educational aids. Due to the nature of AI technology, the Company does not guarantee 100% completeness or accuracy (e.g., prevention of hallucinations). The Company shall not bear any legal liability for academic evaluation results (e.g., changes in grades, admission results) arising from reliance on the AI answers.

2. [Limitation of Liability] Except in cases of intentional misconduct or gross negligence, the Company's total cumulative aggregate liability shall under no circumstances exceed the total fees actually paid by the Customer to the Company during the three (3) months immediately preceding the event giving rise to the claim.

Article 10 (Termination and Suspension of Service)

1. The Company may immediately terminate the Service if the Customer breaches any material obligation of these Terms.

2. The Company may terminate the Service out of technical or business necessity by providing a 30-day prior notice via the website or email. In such cases, the Company shall not be liable for any additional damages other than the settlement of unused fees.

Article 11 (Amendment to the Terms)

1. The Company may amend these Terms to the extent they do not violate applicable laws.

2. When amending the Terms, the Company shall announce the effective date and reasons for the amendment alongside the current Terms on the website's notice board from 7 days prior to the effective date.

3. If the Customer does not explicitly express a refusal by the day prior to the effective date of the amended Terms or continues to use the Service, the Customer is deemed to have agreed to the amended Terms.

Article 12 (Governing Law and Jurisdiction)

Any disputes arising in connection with the use of this Service shall be governed by the laws of the Republic of Korea, and the court having jurisdiction over the Company's principal place of business shall have exclusive jurisdiction.
